Terms of Service

These Terms of Service (“Terms”) govern access to and use of the Prosvera AI website and application (the “Service”). By creating an account or using the Service, you agree to these Terms.

1. Agreement

These Terms form a binding agreement between you (an individual user or the business you represent) and Prosvera AI (“Prosvera”, “we”, “us”). If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.

Our Privacy Policy and Security page describe how data and controls work. Feature descriptions on marketing pages are informational; your live workspace plan and configuration control what is enabled for you.

2. The Service

Prosvera provides AI-assisted B2B prospecting tools, which may include company discovery from configured providers, enrichment of public company information, ICP fit scoring with evidence, decision-maker search when a contact provider is configured, and draft outreach held for human approval.

The Service is a decision-support and workflow product. Prosvera does not guarantee sales outcomes, deliverability, data completeness from third-party providers, or that any company or contact is ready to buy.

3. Accounts and organizations

  • You must provide accurate registration information and keep credentials confidential.
  • Workspaces are organization-scoped. You are responsible for activity under your account and for members you invite.
  • Organization owners control billing, membership and settings for their workspace.
  • We may suspend accounts that appear compromised, abusive or in material breach of these Terms.

4. Acceptable use

You agree to use Prosvera only for lawful B2B prospecting and related business purposes. You must not:

  • Fabricate contacts, companies, evidence or messages and present them as verified facts from Prosvera.
  • Use the Service to scrape private data, bypass CAPTCHA, authentication or access controls, or violate third-party terms.
  • Bypass human approval, suppression, unsubscribe or other consent-related controls built into campaigns.
  • Send unlawful spam, deceptive messages, or content that infringes rights or violates anti-spam, privacy or marketing laws.
  • Probe, overload or disrupt the Service, or attempt unauthorized access to other organizations’ data.
  • Resell, reverse engineer (except where prohibited by law to restrict), or misuse AI features to train competing models using Prosvera outputs in violation of applicable law or these Terms.

5. Your content and responsibilities

You retain rights to customer content you submit (ICP settings, imports, notes and messages). You grant Prosvera a limited license to host, process and display that content solely to provide the Service.

You are solely responsible for: (a) the lawfulness of your prospecting and outreach; (b) the accuracy of instructions and imports; (c) messages you approve and send; (d) complying with email, privacy and marketing laws in the regions you contact; and (e) your contracts with third-party data and email providers you connect.

6. Third-party providers

Discovery, contact and sending features depend on providers you configure. Those providers have their own terms and availability. Prosvera is not responsible for outages, inaccurate provider data, or provider policy changes.

7. Plans, billing and taxes

Paid plans, free tiers, usage limits and add-ons are shown in-product and may be summarized on marketing pages. The live billing configuration in your workspace is authoritative. Fees are charged according to the selected plan and processor terms. Taxes may apply. Unused quotas typically do not roll over unless expressly stated.

You may cancel according to in-product billing controls. Except where required by law, fees already paid are non-refundable.

8. Intellectual property

Prosvera and its licensors own the Service, branding, software and documentation. Except for the limited rights to use the Service under these Terms, no IP rights are transferred to you.

9. Confidentiality

Each party may receive non-public information from the other. The receiving party will use reasonable care to protect that information and use it only for the Service relationship, except for information that is public, independently developed, or required to be disclosed by law.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROSVERA DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI OUTPUTS MAY BE INCOMPLETE OR INCORRECT AND MUST BE REVIEWED BY A HUMAN BEFORE RELIANCE OR SENDING.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROSVERA AND ITS SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL. PROSVERA’S TOTAL LIABILITY ARISING OUT OF THESE TERMS OR THE SERVICE IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO PROSVERA FOR THE SERVICE IN THAT PERIOD (OR USD 100 IF YOU ARE ON A FREE PLAN).

12. Indemnity

You will defend and indemnify Prosvera against claims, damages and costs arising from your content, your outreach, your misuse of the Service, or your violation of law or these Terms, except to the extent caused by Prosvera’s willful misconduct.

13. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access for breach, risk to the platform, non-payment, or legal requirements. Upon termination, your right to access the Service ends. Sections that by nature should survive (including IP, disclaimers, liability limits and indemnity) will survive.

14. Changes to the Terms

We may update these Terms as the product evolves. We will update the “Last updated” date and may notify account owners of material changes. Continued use after the effective date constitutes acceptance.

15. Governing law

These Terms are governed by the laws of the Republic of Armenia, without regard to conflict-of-law rules, unless mandatory consumer or local law requires otherwise. Courts located in Yerevan, Armenia shall have exclusive jurisdiction, except that Prosvera may seek injunctive relief in any jurisdiction to protect its IP or security.
